Technology due diligence: what the target runs on and where the debt sits.

Technology due diligence is the review of a target’s technology before a deal closes: what it runs on, where the technical debt sits, which vendors and subscriptions it depends on, and how its sites perform. Meo Advisors maps what is visible from the outside first and lists exactly what needs authorized access.

In short

  • From outside: front end and templates, tags and measurement, customer-facing apps, domains and hosting.
  • Needs access: app internals, data integrations, code and technical debt, vendor contracts and SaaS spend.
  • You receive a stack map, technical debt flags and an access request list.

What is technology due diligence in M&A?

It is the deal-stage review of a target’s technology: what it runs on, where the technical debt sits, which vendors it depends on and how its sites perform. It can run before LOI, during exclusivity or after close.

Technical debt is the cost of shortcuts in a system that must be paid back later as rework. Our working definition.

What technology due diligence can check at each deal stage
Deal stageWhat can be checked
Before LOIThe outside view: front end, templates, tags, customer-facing apps, domains, hosting and page speed
During exclusivityThe outside view plus documents and interviews the target agrees to share
After closeInternals with authorized access: code, data integrations, vendor contracts and SaaS spend

Technology is one of the six areas of private equity due diligence.

  1. 01Marketing & Digital VisibilityCan customers find the target in search, maps and AI answers?
  2. 02CompetitionWhich peers win the target’s customers, and how?
  3. 03CX & Call CentersWhat happens when a customer calls, texts or fills in a form?
  4. 04CybersecurityWhat can an attacker see from the internet?
  5. 05Technology & InfrastructureWhat does it run on, and where is the technical debt?
  6. 06Compliance & RiskWhere do consent, privacy or accessibility rules create exposure?

What are the key components of a technology due diligence checklist?

A technology checklist splits into what is visible from outside and what needs authorized access, with the deliverable each part feeds.

Front end, tags, apps and hosting are visible; internals need authorized access.

Follow the IT due diligence guide to plan the review, then copy the IT due diligence checklist to record the evidence and access requests.

What does the target run on, and where is the technical debt?

We map the stack from the outside and flag the debt it shows: duplicate tools, dated templates, broken tags and slow pages.

Three layers: how customers find the target, what it runs on, and what it exposes.
LayerWhat we check
Marketing & Digital VisibilityAI answers and search ranking; Listings and reviews; Paid media; Pricing
Technology & InfrastructureTechnical debt; Vendors and SaaS subscriptions; Tags and measurement; Page speed
CybersecurityExternal exposure review; Internet-facing endpoints; Certificates and security headers; Penetration testing on request, with authorization

A finding in a shared template repeats on every site built from it, so we trace it to the template.

The tech stack and technical debt assessment separates public stack signals from the code, architecture and maintenance records that need authorized access.

Use the IT infrastructure assessment for systems and resilience questions, and the SaaS sprawl and software spend audit for contracts, usage and vendor overlap.

What are red flags in due diligence?

In technology, the red flags are the ones that turn into unplanned cost after close.

  • Exposed services that should not face the internet.
  • Duplicate tools doing the same job.
  • Shared templates carrying the same defect across many sites.
  • Pages that miss Google’s good page-load target.

What are the four main types of due diligence?

Financial, legal, commercial and operational are the four usually named. Technology diligence sits beside them, with IT, cybersecurity and marketing diligence.

How long does technology due diligence take, and what does it cost?

We agree the timetable for technology at scoping. The 24–72 hours initial audit covers marketing and CX only. Deep-dive diligence costs $15–50K, depending on depth and the areas covered.

What needs authorized access?

App internals, data integrations, code and technical debt, and vendor contracts and SaaS spend. We list each with the record or access that would answer it.

What we can’t see from outside

  • App internals
  • Data integrations
  • Code and technical debt
  • Vendor contracts and SaaS spend

Each is listed with the record that would answer it. Missing evidence is never scored as a failure.
