Private equity due diligence
Private equity due diligence in six areas, starting from public evidence.
Access-gated checks run only on request, with authorization.
Private equity due diligence is the review a sponsor runs on a target before committing capital. Meo Advisors starts outside-in, from public evidence, in six areas: marketing, competition, customer experience, cybersecurity, technology and compliance. That audit needs no logins, integrations or management time; access-gated checks run only on request, with authorization.
In short
- Six areas: marketing, competition, customer experience, cybersecurity, technology and compliance.
- The outside-in audit needs no logins, integrations or management time.
- Marketing and CX: partial readout within hours, initial audit in 24–72 hours.
- You receive a 100-day plan, a prioritized risk register and a scorecard.
What is outside-in private equity due diligence?
Outside-in diligence tests a target from the evidence anyone can see: its sites, search results, map listings, ads, reviews and internet-facing systems, plus customer-side tests such as mystery shops.
Outside-in diligence is diligence built from public evidence and customer-side tests, before or alongside data-room access. The target gives no access and spends no management time.
Most deal theses get tested against what the target chooses to show: the financials, the management presentation and the data room. The failure points that hurt after close often sit outside that view. A lead waits for a callback that never comes, a web form collects consent the wrong way, or a public system goes unpatched.
| What the deal book shows | What we test from the outside |
|---|---|
| Financials | 01 Marketing & Digital Visibility |
| Management presentation | 02 Competition |
| Data room | 03 CX & Call Centers |
| 04 Cybersecurity | |
| 05 Technology & Infrastructure | |
| 06 Compliance & Risk |
Access-gated checks run only on request, with authorization.
The six areas we audit
Each area answers one question a deal team would ask. Marketing, competition and customer experience show how customers find the target, who wins them and what happens when one gets in touch. Cybersecurity, technology and compliance show what the business runs on and what it exposes.
- 01Marketing & Digital VisibilityCan customers find the target in search, maps and AI answers?
- 02CompetitionWhich peers win the target’s customers, and how?
- 03CX & Call CentersWhat happens when a customer calls, texts or fills in a form?
- 04CybersecurityWhat can an attacker see from the internet?
- 05Technology & InfrastructureWhat does it run on, and where is the technical debt?
- 06Compliance & RiskWhere do consent, privacy or accessibility rules create exposure?
Copy the private equity due diligence checklist to track each area and distinguish public evidence from questions that need access.
How outside-in diligence works
We agree the deal question, markets and peers with the sponsor, then collect public evidence, run mystery shops and an external exposure review, and score every finding on impact, effort, confidence and scope.
- ScopeDeal question, markets and peers
- CollectPublic evidence: sites, search, ads, reviews
- TestMystery shops and an external exposure review
- RankEvery finding scored on impact, effort, confidence and scope
- Deliver100-day plan, risk register, scorecard
Collect, test and rank Marketing and CX: partial readout within hours, initial audit in 24–72 hours.
The work can start before LOI, during exclusivity or after close.
Each step closes with a sponsor sign-off. We agree the timetable for the other areas at scoping. Missing evidence is never scored as a failure.
Penetration testing runs only on request, with authorization.
What are red flags in due diligence?
A red flag is a finding that could change the price, the terms or the 100-day plan. From the outside, the common ones are commercial and operational, not accounting.
- Customers who cannot find the target in search, maps or AI answers, while peers can.
- Inquiries that go unanswered, or answered too slowly to book.
- Lead forms that collect consent in a way that creates TCPA exposure.
- Internet-facing services and admin logins exposed to anyone who looks.
- Duplicate tools doing the same job, and shared templates carrying the same defect.
- Paid spend that does not convert, or that targets the wrong audience.
Every red flag goes into the prioritized risk register with its evidence, an owner and, where it is a legal question, a counsel flag.
What are the four main types of due diligence?
The four usually named are financial, legal, commercial and operational due diligence. Technology, cybersecurity, marketing and compliance diligence sit inside or beside them, and those are the areas an outside-in audit covers.
| Type | Question it answers | Typical evidence | Meo coverage |
|---|---|---|---|
| Financial | Are the numbers real and repeatable? | Accounts, quality of earnings | Not covered |
| Legal | What do contracts and disputes commit the buyer to? | Contracts, litigation, licences | Not covered; legal findings go to counsel |
| Commercial | Will customers keep buying, and from whom? | Market, peers, customers | Partly, from public evidence before LOI |
| Operational | Can the business deliver and scale? | Processes, systems, people | Partly: customer experience and technology |
| Technology and cyber | What does it run on and what does it expose? | Stack, endpoints, debt | Yes, outside-in first; inside checks need authorization |
| Marketing and compliance | Can customers find it, and where do rules create exposure? | Search, ads, reviews, consent wording | Yes |
What can a sponsor learn about a target without access?
More than most deal teams expect: whether customers can find it, how it compares with peers, how fast it answers, what it exposes to the internet and where its public pages create compliance risk.
What the outside cannot show is listed as an open question, with the record that would answer it, such as conversion rate, revenue by channel or answer rate across all calls. Missing evidence is never scored as a failure. Start with a free instant audit of one target to see the marketing, search and CX view.
Who on a deal team uses outside-in diligence?
Five roles use it, each for a different question.
| Role | What they want to know | Start here |
|---|---|---|
| Deal partner | Whether a thesis risk exists, before LOI and without tipping the target | Diligence before LOI |
| Operating partner | A plan to run from day one: owners, measures, sequence | The 100-day value creation plan |
| Portfolio company CEO or CFO | Exposure to fix before a buyer or regulator finds it | Compliance and customer experience, above |
| CTO or CISO | What the outside view shows a buyer, and what needs authorization | Cybersecurity and technology, above |
| Marketing leader | How the company compares in search, ads and reply speed | Marketing and competition, above |
A company preparing for exit can use sell-side readiness to find buyer-visible gaps. An acquisition team can use operational due diligence to connect public customer journeys with the internal evidence needed to test its operating plan.

How long does outside-in diligence take?
For marketing and CX, a partial readout is ready within hours and the initial audit within 24–72 hours. We agree the timetable for the other areas at scoping.
The work can start before LOI, during exclusivity or after close, because the target gives no access.
How much does outside-in diligence cost?
The instant audit of one target is free. Deep-dive diligence costs $15–50K, depending on depth and the areas covered.

What are the top due diligence companies?
The firms deal teams hire fall into a few archetypes: accounting and strategy firms for financial and commercial work, specialist technology and cybersecurity firms, marketing agencies and data vendors. Each sees part of the target.
How to choose a diligence provider for outside-in work
- Ask what they can test without access, and what they will list as needing it.
- Ask how every finding is scored, so a slow callback and a consent gap can be ranked against each other.
- Ask what you receive: a report, or a plan with owners and measures.
- Ask who runs the fixes after close, and at what cost.
Planning the review and the work after close
Use the outside-in diligence method to agree the evidence boundary, and the guide to choosing a due diligence firm to compare providers. The diligence resources collect checklists and templates. After close, private equity value creation connects findings to the work that follows.
